It’s not often that we get to pick the brain of a former SEC Commissioner. Dan Gallagher recently stopped by Inside America’s Boardrooms to discuss the current corporate governance landscape.

In last week’s episode, we took a look at the Commonsense Corporate Governance Principles and asked, “What happens now?” Offering a former commissioner’s perspective, Gallagher describes corporate governance as a third-rail issue—something on which regulators and policy makers generally avoid engagement.

“I applaud the private sector for saying: Enough is enough. We need to get some thoughts on the table to create a dialogue.”

In his post-SEC life, Gallagher, now President of Patomak Global Partners, LLC., spends much time in the boardroom, where he consults with corporate management and directors on topics ranging from risk management to shareholder engagement. He discusses the challenges facing today’s board members, along with exclusive insights from behind the curtain at the SEC. Among the questions covered:
